Terms of Service

These Terms of Service ("Terms") govern your access to and use of Carvoy, a rent-a-car management platform operated by Eleanor Perrotte ("Carvoy", "we", "us"). By creating an account, accepting an invitation to join a company's account, or otherwise using Carvoy, you agree to these Terms on behalf of yourself and, if applicable, the business you represent ("you", "your company").

If you do not agree to these Terms, do not use Carvoy. If you are entering into these Terms on behalf of a company, you confirm that you have the authority to bind that company.

1. The service

Carvoy is software for running a car rental business: fleet records, customer records, rental agreements, payments, expenses, accidents, court matters, and related reporting. Carvoy is provided on a multi-tenant basis - each company that signs up (a "Tenant") gets its own separated account, and data entered by one Tenant is not visible to another.

Carvoy is under active development. Features, pricing, and these Terms may change as the product evolves; we'll do our best to give notice of material changes.

2. Accounts

Access to Carvoy is currently invite-only. A Tenant's owner/admin can invite staff to join their account and set each person's role and permissions. You're responsible for:

  • keeping your login credentials confidential and not sharing your account with others;
  • everything that happens under your account, including actions taken by anyone you give access to;
  • the accuracy of the information you or your staff enter into Carvoy; and
  • promptly removing access for staff who leave your company.

Notify us immediately if you suspect unauthorized access to your account.

3. Your data, and your customers' data

Everything a Tenant enters into Carvoy - vehicle records, rental agreements, and information about the Tenant's own customers (names, driver's license numbers, contact details, payment records, and similar) - belongs to that Tenant. Carvoy stores and processes it on the Tenant's behalf to provide the service; we don't claim ownership of it.

You're responsible for having the right to collect and store your own customers' personal information, and for complying with whatever laws apply to your business and location when you do. See our Privacy Policy for how Carvoy itself handles data.

4. Fees and subscriptions

New accounts start with a free trial period. After the trial, continued use of paid features requires an active subscription at the pricing then in effect for your plan. We'll tell you before any charge is made once paid billing is live. If a subscription lapses or a payment fails, we may restrict your account to read-only access until it's resolved, rather than deleting your data outright.

Fees, once billing is active, are generally non-refundable except where required by law or as we agree in writing.

5. Acceptable use

You agree not to:

  • use Carvoy for any unlawful purpose, or to store or process data you don't have the right to;
  • try to access another Tenant's data, or probe, scan, or test the platform's security without permission;
  • interfere with or disrupt the service, or attempt to bypass any access or rate limits;
  • reverse-engineer, resell, or use Carvoy to build a competing product; or
  • use automated means to access Carvoy outside of its intended interfaces, without our written consent.

6. Availability

We aim to keep Carvoy available and reliable, but we don't currently offer a guaranteed uptime commitment. We may need to take the service down temporarily for maintenance, and we'll try to keep disruption to a minimum.

7. Intellectual property

Carvoy - the software, design, and branding - is owned by us and protected by applicable intellectual property laws. These Terms don't grant you any rights to our intellectual property beyond what's needed to use the service as intended.

8. Disclaimer and limitation of liability

Carvoy is provided "as is", without warranties of any kind, express or implied. We don't warrant that the service will be uninterrupted, error-free, or fit for a particular purpose. You're responsible for keeping your own backups of anything critical, and for verifying records (rates, agreements, balances) before relying on them for business or legal purposes.

To the fullest extent permitted by law, we won't be liable for indirect, incidental, or consequential damages arising from your use of Carvoy, and our total liability for any claim relating to the service is limited to the amount you paid us for the service in the three months before the claim arose.

9. Termination

You may stop using Carvoy at any time. We may suspend or terminate an account that breaches these Terms, or that we reasonably believe poses a security or legal risk to Carvoy or other Tenants. On request, and for a reasonable period after termination, we'll help you export your data before it's deleted.

10. Changes to these Terms

We may update these Terms from time to time. If we make a material change, we'll make reasonable efforts to let you know (for example, by email or an in-app notice). Continuing to use Carvoy after a change takes effect means you accept the updated Terms.

11. Governing law

These Terms are governed by the laws of Antigua and Barbuda, without regard to its conflict-of-laws principles.
